Legal & Compliance

Terms of Use

Effective Date: November 6, 2026. Please review these terms carefully before accessing or using the Kiro platform.

1. Agreement to Terms

These Terms of Use ("Agreement" or "Terms") constitute a legally binding agreement between you ("Customer", "Merchant", "you", or "your") and Kiro Invoicing ("Kiro", "we", "us", or "our"), governing your access to and use of the Kiro web applications, APIs, self-service invoice portals, and related software tools (collectively, the "Service").

By creating an account, connecting a business, purchasing a license, or accessing any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the legal authority to bind that entity to these Terms.

2. Description of the Service

Kiro provides automated, self-service customer invoice portals, PDF receipt generation, and customer VAT/tax collection tools for digital merchants and software businesses that process transactions through Stripe.

Kiro is an independent software application and is not affiliated with, sponsored by, or endorsed by Stripe, Inc. All payment processing activities are conducted through Stripe pursuant to your separate agreement with Stripe.

3. Account Registration & Security

To use the Service, you must register for an account by providing accurate, current, and complete information, including a valid email address. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials, login magic links, and verification codes.
  • All activities, modifications, and invoice requests generated under your account credentials.
  • Promptly notifying us at support@getkiro.fyi if you discover or suspect any unauthorized access or security compromise involving your account.

4. License Grant & Permitted Access

Subject to your ongoing compliance with this Agreement and payment of applicable fees, Kiro grants you a non-exclusive, non-transferable, revocable, worldwide right to access and use the Service strictly for your internal business operations and to provide self-service invoicing portals to your bona fide purchasers.

Except as expressly permitted herein, you shall not: (a) license, sublicense, sell, resell, transfer, assign, distribute, or commercially exploit the Service; (b) reverse engineer, decompile, disassemble, or derive the source code of the Service; (c) build a competitive product, service, or benchmark; or (d) interfere with or disrupt the integrity or security of the Service or its underlying infrastructure.

5. Lifetime Plans & Operational Life Policy

If you purchase a license marketed as a "Lifetime Deal" or "Lifetime Access" plan (such as Starter Lifetime or Pro Lifetime), the license terms are defined as follows:

  • Definition of Operational Life: In accordance with standard cloud software practices, "Lifetime" refers to the operational lifespan of the Kiro software product and hosted service, defined as the period during which Kiro actively develops, hosts, maintains, and commercially offers the product. It does not refer to the natural life expectancy of an individual human purchaser.
  • Product Modifications: We reserve the right to continuously enhance, update, optimize, or modify platform features, user interfaces, and supported third-party API integrations, provided that core self-service invoice generation functionality is maintained.
  • Fair Usage Guidelines: Lifetime licenses are subject to reasonable commercial fair usage. Systematic automated scraping, malicious high-frequency polling, intentional stress testing, or generating abusive volumes disproportionate to normal business operations is prohibited and grounds for account throttling or suspension.
  • Non-Transferability: Each lifetime plan is granted to a single account owner or entity and may not be transferred, sublicensed, resold, leased, or pooled among unrelated third parties.
  • Retirement or Business Transition: In the event that Kiro determines to sunset the service, discontinue operations, or undergo an acquisition resulting in product deprecation, we will provide at least sixty (60) days advance notice via email to registered account holders to allow data export.

6. Stripe Integration & API Key Governance

To query customer charges and generate verified tax invoices, you provide a Stripe Restricted API Key (rk_live_... or rk_test_...).

  • Principle of Least Privilege: You must configure and provide only Stripe Restricted Keys scoped strictly with read-only permissions for Charges, Customers, and Invoices. You must never provide full, unrestricted Secret Keys (sk_live_...) or grant permissions for payouts, bank debits, card modifications, or balance transfers.
  • Non-Custodial Architecture: Kiro is not a bank, payment processor, money transmitter, or custodian of customer funds. All financial settlement and charge processing occurs directly within your Stripe account. Kiro never touches, holds, or directs merchant revenue or customer card data.
  • Key Encryption & Security: All API credentials supplied to Kiro are encrypted at rest using AES-256-GCM authenticated encryption with isolated server-side key management. You remain responsible for rotating and revoking your keys within your Stripe dashboard if you suspect any compromise.

7. Tax Compliance & Merchant Responsibility

Kiro provides software formatting tools, dynamic templates, and automated calculation helpers. However:

  • You are solely responsible for verifying the legal accuracy, tax rates, VAT/GST registration numbers, registered entity addresses, and statutory invoice formatting requirements for your specific jurisdiction and business type.
  • Kiro does not provide accounting, tax, legal, or fiscal advisory services. Use of the Service does not guarantee fiscal compliance or replace consultation with qualified legal or certified tax professionals.
  • You are exclusively responsible for collecting, reporting, and remitting all applicable sales taxes, value-added taxes (VAT), goods and services taxes (GST), and withholding taxes to the appropriate government authorities.

8. Customer Data & Privacy

As between you and Kiro, you retain all right, title, and ownership in and to all data, business metadata, and customer invoice records that you input or retrieve through the Service ("Customer Data").

You grant Kiro a limited, non-exclusive, worldwide license to host, store, transfer, and process Customer Data solely to the extent necessary to provide, maintain, and support the Service. We do not sell, rent, or monetize your end-customer data or purchase histories. Data handling practices are governed by our Privacy Policy.

9. Fees & Refund Policy

Fees for Kiro lifetime plans are payable as a one-time charge at the time of purchase. All prices are listed in United States Dollars (USD) unless otherwise specified.

14-Day Refund Guarantee: We offer a full, unconditional 14-day refund policy on all one-time plan purchases. If Kiro does not satisfy your operational workflow, submit a refund request to support@getkiro.fyi within fourteen (14) days of your purchase date, and we will issue a full refund to your original payment method. Following the expiration of the 14-day window, all fee payments are final and non-refundable.

10. Intellectual Property Rights

Kiro and its licensors retain all right, title, and interest (including all patent, copyright, trademark, trade secret, and other intellectual property rights) in and to the Service, documentation, website, designs, and software code.

If you submit feedback, suggestions, or feature requests to us, you grant us an unrestricted, irrevocable, royalty-free license to use and incorporate your feedback into the Service without compensation or attribution.

11. Acceptable Use & Prohibited Conduct

You agree not to use the Service: (a) for any unlawful, fraudulent, deceptive, or unauthorized purpose; (b) to generate fictitious, forged, or fraudulent tax receipts or financial documents; (c) to probe, scan, or test the vulnerability of any system or network; (d) to transmit viruses, malware, or destructive code; or (e) in violation of applicable sanctions, anti-money laundering, or export control laws.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL INVOICE TEMPLATES AND CONTENT ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KIRO INVOICING, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SERVICE.

UNDER NO CIRCUMSTANCES SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO Kiro UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

14. Indemnification

You agree to defend, indemnify, and hold harmless Kiro, its affiliates, officers, and employees from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data; (b) your breach of this Agreement; (c) tax, invoicing, or regulatory disputes with your customers or taxing authorities; or (d) unauthorized access resulting from your failure to safeguard your account or Stripe credentials.

15. Suspension & Termination

We may suspend or terminate your access to the Service immediately, with or without notice, if: (a) you materially breach any provision of this Agreement; (b) we reasonably believe your use of the Service presents a security risk or violates acceptable use standards; or (c) required by law, court order, or regulatory agency.

Upon termination, your license to access the Service terminates immediately. Sections 5 through 17 shall survive any termination of this Agreement.

16. Governing Law & Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of Kiro Invoicing, without regard to conflict of law principles.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the complete and exclusive understanding between you and Kiro regarding the Service, superseding all prior oral or written proposals or understandings.

Force Majeure: Neither party shall be liable for any failure or delay in performance resulting from causes beyond reasonable control, including internet carrier outages, cloud infrastructure failures, acts of civil authorities, or labor disputes.
